L-3 Communications and Wescam announce expiration of U.S. Hart-Scott-Rodino waiting period

New York, New York /Burlington, Ontario – October 22, 2002 -- L-3 Communications (NYSE: LLL) and Wescam (TSX: WSC) announced today, in connection with the takeover bid by L-3 Communications for Wescam, that the statutory waiting period under the U.S. Hart-Scott-Rodino Antitrust Improvements Act of 1976, expired at 11:59 p.m. on October 21, 2002. The expiry of this waiting period is one condition of L-3 Communications’ offer to acquire Wescam.

L-3 Communications’ offer to acquire all of Wescam’s shares outstanding for C$9.50 per share in cash remains subject to the satisfaction or waiver of a number of other conditions outlined in L-3 Communications’ Take-Over Bid Circular that was mailed to shareholders on October 16, 2002. The transaction is expected to close by the end of 2002.

Wescam’s Board of Directors unanimously recommends that shareholders accept L-3 Communications’ offer and tender their shares to the offer.

The offer is scheduled to expire at 12:01 a.m. on November 21, 2002. Wescam’s shareholders are advised to read carefully the offer documentation and the Wescam Directors’ Circular, as they contain important information shareholders should consider in deciding whether to tender their shares to the offer, as well as information concerning the process for tendering shares.
